OEM NORDIC Terms of Service
Overview
This website is operated by OEM Nordic. Throughout the site, the terms “we”, “us” and “our” refer to OEM Nordic. By visiting our site and/or purchasing something from us, you engage in our “Service” and agree to be bound by these terms and conditions (“Terms of Service” or “Terms”). These Terms apply to all users of the site, including browsers, vendors, customers, merchants, and/or contributors of content.
Please read these Terms carefully before accessing or using our website. By using any part of the site, you agree to be bound by these Terms. If you do not agree, you may not access the website or use any services.
1. General Provisions
OEM Nordic provides goods and services under these Terms. By placing an order, the Client accepts these Terms as binding. Deviations from these Terms must be explicitly agreed upon in writing. Any updates or changes to these Terms will be posted on this page, and continued use of the website constitutes acceptance of these updates.
2. Offer and Conclusion of Contract
All offers are non-binding until confirmed by OEM Nordic in writing. A contract is concluded once OEM Nordic confirms the Client's order. OEM Nordic reserves the right to modify or withdraw offers before confirmation.
3. Prices and Payment Terms
Prices exclude VAT unless specified otherwise. Payments must be made within 30 days of the invoice date. OEM Nordic reserves the right to suspend deliveries for overdue accounts. Late payments will incur interest in accordance with Finnish laws. Payment obligations must be met regardless of delivery delays unless caused by OEM Nordic's gross negligence.
4. Delivery Terms
4.1 Delivery Times: All delivery dates are estimates. OEM Nordic will not be liable for any compensation or cancellation due to delayed deliveries unless agreed in writing.
4.2 Force Majeure: OEM Nordic is not liable for delivery delays caused by events beyond its control (e.g., strikes, supply chain issues, natural disasters). In such cases, the delivery period may be extended, or the contract canceled without liability.
4.3 Risk Transfer: Risk of damage or loss passes to the Client upon dispatch from OEM Nordic's facilities.
5. Retention of Title
OEM Nordic retains ownership of all goods until full payment is received. In cases of non-payment, OEM Nordic reserves the right to repossess the goods.
6. Inspection and Acceptance
The Client must inspect goods upon delivery and report defects or damages within 48 hours. Failure to do so constitutes acceptance of the goods.
7. Warranty and Limitation of Liability
OEM Nordic warrants goods against manufacturing defects for a period of 12 months. The warranty excludes normal wear and tear, improper installation, or misuse. OEM Nordic’s liability is limited to the repair or replacement of defective goods, and it excludes indirect or consequential damages, including lost profits.
8. Client’s Obligations
The Client must provide accurate information and promptly update their account details, ensuring timely payment and communication. The Client agrees not to engage in unlawful use of the website or violate any third-party rights.
9. Amendments and Termination
OEM Nordic reserves the right to amend these Terms at any time without prior notice. Either party may terminate the contract in the event of a material breach. Upon termination, the Client is responsible for outstanding payments.
10. Force Majeure
OEM Nordic is not liable for any delays or non-performance caused by events beyond its reasonable control, including but not limited to strikes, pandemics, and supply chain disruptions. In such cases, performance obligations may be delayed or canceled without liability.
11. Optional Tools and Third-Party Links
OEM Nordic may provide access to third-party tools or links, which are used at the Client’s own risk. OEM Nordic is not responsible for evaluating or guaranteeing the content or services of third-party providers.
12. Confidentiality
Both parties agree to treat all confidential information shared under the contract with the highest care and not disclose it to third parties without prior written consent, unless required by law.
13. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of Finland. Any disputes will be settled in the courts of Finland, which have exclusive jurisdiction.
14. Indemnification
The Client agrees to indemnify and hold OEM Nordic harmless from any claims or damages arising out of the Client's breach of these Terms or violation of any law.
15. Changes to Terms of Service
OEM Nordic reserves the right to update or replace any part of these Terms. It is the Client's responsibility to review changes periodically. Continued use of the website after updates constitutes acceptance of the new Terms.
